Terms of Service
Effective: October 3, 2026
These Terms set the rules for using KUSTOM KO and its products. They are intended to allocate responsibilities clearly between KUSTOM KO, account holders and organizations.
1. Agreement and scope
These Terms of Service govern access to KUSTOM KO websites, accounts, SLP Studio, Runway, related support, documentation and services (collectively, the “Services”). By creating an account, accepting an invitation, purchasing a subscription, or using the Services, you agree to these Terms and the policies incorporated by reference. If you use the Services for an organization, you represent that you have authority to bind that organization.
2. Accounts, organizations and administrators
You must provide accurate account information and protect your credentials. You are responsible for activity under your account unless caused by our breach. An organization may designate administrators who can invite or remove members, assign roles and product access, and manage subscriptions. Administrator status alone does not include paid product functionality; paid access is subject to the organization’s purchased seat allowance.
You are responsible for choosing appropriate administrators, removing access when personnel change, and ensuring invited users are authorized to view organization data.
3. Product access and seats
SLP Studio and Runway are separately entitled products. Access may be offered without charge and may include limits on projects, records, BOM items, work cells, history, exports or other features. Paid subscriptions include the seat quantities shown at purchase. A user assigned paid access consumes a seat for that product, including an administrator who uses paid product features. We may prevent new paid assignments while an account exceeds its seat allowance.
Features, limits and subscription terms may change prospectively. Material reductions to a paid subscription will not be applied retroactively to a prepaid term unless required for security, law, third-party dependency, abuse prevention, or service integrity.
4. Subscriptions, billing and taxes
Paid subscriptions renew automatically for the billing interval shown at checkout until cancelled. Prices are stated in the currency displayed at purchase and may exclude applicable taxes. You authorize our payment processor to charge the payment method on file for recurring fees, taxes and approved upgrades. Failed payments may result in a grace period, restricted features, suspension or cancellation. Current billing rules are also subject to the Refund & Cancellation Policy.
5. Customer data and permissions
You retain ownership of data, files, layouts, BOMs, inventory records, process information, documents and other content you submit (“Customer Data”). You grant KUSTOM KO a limited right to host, process, transmit, back up and display Customer Data only as reasonably necessary to provide, secure, support and improve the Services, comply with law, or act on your instructions.
You represent that you have all rights and permissions necessary to upload and process Customer Data. Do not upload information you are prohibited from disclosing to a cloud service.
6. Decision-support software; user responsibility
The Services are decision-support tools, not professional engineering, safety, legal, financial, regulatory, quality, production-control or other professional advice. Outputs depend on the data, assumptions, constraints and settings supplied by users. Calculations, optimization results, readiness indicators, forecasts, diagrams, routes, utilization measures, OEE-related calculations and recommendations may be incomplete, approximate or unsuitable for a particular use.
You remain solely responsible for independent review, validation, approvals, code compliance, safety assessments, capacity checks, constructability, equipment clearances, material availability, process capability, staffing decisions and final operational decisions. Do not rely on the Services as the sole basis for decisions that could cause personal injury, property damage, regulatory non-compliance, production loss or other material harm.
7. Availability, changes and beta features
We aim to provide reliable access but do not guarantee uninterrupted or error-free operation. Maintenance, internet failures, third-party outages, security events or changes to dependent services may affect availability. Features identified as preview, beta, experimental or similar may change or be discontinued and should not be used as the sole basis for critical operations.
8. Acceptable use
You must comply with our Acceptable Use Policy. You may not misuse the Services, bypass access controls or plan limits, interfere with service integrity, attempt unauthorized access, use the Services to violate law or third-party rights, or upload malicious content.
9. Intellectual property
KUSTOM KO and its licensors retain all rights in the Services, software, interfaces, algorithms, methods, documentation, trademarks and branding, excluding Customer Data. Your subscription grants a limited, non-exclusive, non-transferable, revocable right to use the Services during the applicable access period. No rights are granted by implication.
Feedback or suggestions you voluntarily provide may be used by KUSTOM KO without restriction or compensation, provided we do not identify you publicly without permission.
10. Third-party services
The Services may rely on third-party providers for hosting, authentication, payments, email, analytics or infrastructure. Their availability and processing may be subject to their own terms. We are not responsible for third-party products or services that you separately choose to connect or use.
11. Suspension and termination
We may suspend or restrict access when reasonably necessary to address non-payment, suspected compromise, unlawful use, material breach, security risk, abuse, or threats to other users or the Services. Where practical, we will provide notice and an opportunity to cure. You may stop using the Services at any time and may cancel paid subscriptions as described in the Refund & Cancellation Policy.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. KUSTOM KO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RESULTS, QUIET ENJOYMENT AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, except where such disclaimers are prohibited by law.
13. Limitation of liability
To the maximum extent permitted by applicable law, KUSTOM KO will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, revenue, production, contracts, opportunities, goodwill, anticipated savings, or loss/corruption of data, even if advised of the possibility.
To the maximum extent permitted by law, KUSTOM KO’s aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the fees paid by you to KUSTOM KO for the affected Service during the 12 months immediately preceding the event giving rise to the claim, or (b) CAD $100 if you used only free Services. These limitations do not apply where liability cannot lawfully be limited.
14. Indemnity
To the extent permitted by law, if you use the Services on behalf of an organization, that organization will defend and indemnify KUSTOM KO against third-party claims, losses and reasonable costs arising from unlawful Customer Data, your violation of third-party rights, or material misuse of the Services, except to the extent caused by KUSTOM KO’s own breach or misconduct.
15. Confidentiality and security
Our handling of Customer Data is described in the Privacy Policy, Security page and Data & Confidentiality terms. No internet service can guarantee absolute security. You are responsible for appropriate access controls, device security, backups of critical information and compliance obligations specific to your organization.
16. Governing law and disputes
These Terms are governed by the laws of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles, except to the extent mandatory consumer or other statutory rights require otherwise. Before filing a formal claim, each party agrees to make a reasonable good-faith effort to resolve the dispute by contacting the other party. Subject to mandatory law, courts located in Alberta will have exclusive jurisdiction.
17. Changes; severability; assignment
We may update these Terms. Material changes will be posted with a revised effective date and, where appropriate, additional notice. If a provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent, except as part of a bona fide corporate reorganization or sale of substantially all relevant assets where the assignee assumes the obligations. KUSTOM KO may assign these Terms as part of a reorganization, financing, merger, acquisition or asset transfer.
18. Contact
Questions about these Terms can be sent to contact@kustomko.com or through the Contact section.
